New IPO for those interested.

Clever algorithms and cloud stuff to excite the SAAS tech masses interested in what looks like "Email communications branding' tech.

The financials, profitability and key customer details are rather vague.... Recurring Annual Revenue of $2.8 mill mentioned?? tho' elsewhere 2022 revenue looks less...  IPO valued at $1.25 per share to give a Mkt cap value of around $40 mill.  No real mention of such things as costs or profitability. Lots of talk about future acquisitions so no doubt some further Capital Raising likely.

I'm happy to watch this one from afar.

VTPE Investments, Arizona is the company's largest shareholder with 12.9 per cent. Teamwork Group holds the second largest with 10.2 per cent while Sir Owen Glenn is the fifth largest shareholder with 7.5 per cent.
Blackpearl chair Tim Crown, a co-founder of Arizona-based and Nasdaq listed Insight Enterprises.

Not a good start.... ( and not unexpected IMO)

From NZ Company register....

"The price of BPG has fallen from its $1.25 listing price on 2 December 2022 to $0.40, being the price at 2:15pm on 7 December 2022. This represents a fall of 68% over the four trading days it has been listed.
Given this fall in the price of BPG shares, please advise NZ RegCo whether BPG continues to comply with Listing Rule 3.1.1."

They've announced a cash raise, and to be fair they had flagged access to equity as key reason for their listing.  So no surprises there but beyond that I struggle to get my head around this? 

The Herald article that KW posted,  says that Blackpearl, "styles itself as an acquisition company" targeting  "a ton of orphan companies out there that were geared up to grow to the moon if they had enough capital, enough resources, enough management and enough time. But with what's happening out there right now, those companies don't really have a lot of options."

However; in the CR  document puffery (http://nzx-prod-s7fsd7f98s.s3-website-ap-southeast-2.amazonaws.com/attachments/BPG/419580/404653.pdf) they say that they operate a SaaS recurring revenue model based on their data and sales products. There's no mention at all of acquisitions, orphans or anything at all of that nature. 

So who they are and what they're trying to do is a bit confusing...but wait there's more...

They claim annual recurring revenue of just over $4m from 3800 customers...which means they're pulling the grand total of $1k per annum per customer.  Yet; they also reckon they have "average customer billing" of NZ$308.72/month"  - which would be $11.7m pa.  Maybe it's just my math?

Either way, they're going to need to exponentially increase accounts to make any real cash.  They have increased ARR by nearly 60% for YTD but when you're coming from a $1.5m start base that kind of growth should be expected.  Churn is low at less than 4% but again, you'd expect that with most contracts being newly minted.

They have four products, like Blackpearl Mail which, "transforms daily company email into a demand generating marketing tool."  What does that actually mean?  The only one explained in any depth (and that too is mighty scanty) is Diver - which they claim, "uses an identity graph to identify anonymous website traffic."  This is then collated to provide "visitor profile cards" that give "valuable firmographic, demographic and behavioural information" for targeting marketing campaigns etc.  Okay?

A future profitability date of around mid year 2024 to early 2025 is suggested via a hard to read graph, this is apparently modelled on the previous rate of customer gain.  There is nothing by way of evidence beyond this.

Thanks for the link, Winner.  An interesting listen, Mr  Lissette certainly has the gift of the gab.  A grand salesman.

So, potentially they're the next Xero.  NZX's best kept secret even.  Backed by smart money in Sir Owen Glenn and a bevy of savvy Stateside investors... Lots to love, he says. 

Maybe they just need to channel a bit of their fancy AI  into creating cohesive and coherent documentation then they'd be swell.

Basically they host "digital email signatures" that get added to a company email, along with embedded advertising.

15% QoQ growth is nothing to be sniffed at, that's pretty good.  The question is whether its sustainable, or if its a one off such as a seasonal effect or the result of an acquisition.  And whether its just a transition from lump sum software licence payments to a SaaS model in which case its not really new revenue.

Black Pearl Group Limited (NZX:BPG) is pleased to announce that it has today entered into a
NZ$5 million revolving loan facility with Bank of New Zealand.

Letter to Shareholders
Dear Shareholders,
At our Annual Shareholders' Meeting I said that BPG had earned itself options.
Now, weeks away from reaching NZ$10 million in annual recurring revenue (ARR), we could fund
our growth from monthly net cash. However, our aspiration is to achieve true scale, one befitting
our market opportunity – after all, there are 33 million SME businesses in the USA.
As such, we are investing in increasing our velocity beyond what an operating net cash
investment could yield, with the ambition of growing to $20 million ARR in the next 1 –2 years.
To support this, the Board has today entered into a Growth Facility with Bank of New Zealand
(BNZ), becoming one of BNZ's select Project Scale Up clients. Having access to a non-dilutive debt
facility with a major trading bank reflects the great success we have had as a company to date
and our proven growth velocity.
The loan facility is for a two-year term and the purpose of the loan facility is for growth. BPG is
subject to a key financial covenant under the facility to maintain a minimum growth rate of 20%
per annum in its ARR.
We appreciate this is not the traditional growth funding approach for a technology business at
our life stage. Typically, we would issue new stock. While this is clearly an option for BPG, we do
not believe that our share price is an accurate representation of the company's value and we are
not going to dilute our shareholders by issuing stock at a bargain. If you want stock at the current
share price, buy on the market.

Financial Commentary

Subscription revenue grew 81% to $7.7m, supported by strong ARR uplift and deeper customer relationships. Our customer mix improved as we shifted focus to high-value accounts, resulting in a 50% ARPU lift over the past six months. While churn spiked during our ICP transition in Q3, it stabilised to 5.3% in Q4.

Gross margin held at 68%, down from 71% in FY24, reflecting a temporary overlap in data supply contracts. As legacy providers roll off in FY26, margin expansion is expected to begin from Q2. Beyond that, Blackpearl will start to accrue substantial margin benefit from the new flat fee arrangement, as revenue scales further.

Blackpearl ended the year with $6.7m in cash and retains access to a $4m undrawn non-dilutive loan facility with BNZ. We are sufficiently capitalised and well supported by our banking partner, with resources already in place to support continued product expansion and market growth.

This is even more true today than it was a year ago.  AI engines have upended everything.  People are not bothering to use Google search to find things - they just ask AI for an answer.  So potential customers are never exposed to advertising.  This on top of the likes of Google and Facebook increasing ad rates astronomically, to the point where a lot of users are finding the cost of customer acquisition exceeds the customer revenue. 

I think companies will return to more old school forms of marketing and advertising.  Like email lists.   I notice Adairs is really focused on their Linen Lovers membership group, as they cost nothing to market to, and their revenue per customer is higher.  The only way I know if Briscoes is having a sale is (a) its Briscoes, and (b) they email me everyday, sometimes twice a day.

However, having a good market opportunity does not automatically mean they are capable of capitalising on it.  See RYM lol

Up to approximately 15.8 million new shares may be issued under the Offer. New shares issued under the Offer will rank equally with existing fully paid ordinary shares from their time of issue.

 

Under the ANREO, eligible shareholders will be invited to subscribe for 1 new share for every 7.70 existing Blackpearl Group shares held at 5.00pm (NZST) on the record date of 13 August 2025.

 

The entitlements cannot be traded on the NZX Market or transferred or sold privately, and there will be no shortfall bookbuild for the entitlements which are not taken up under the ANREO. This means that shareholders will receive no value for any entitlements that they do not take up. Please refer to the Offer Document attached with this announcement for further information.

 

The institutional component of the ANREO (Institutional Offer) will be conducted concurrently with the Placement. New shares equal in number to the entitlements from the institutional component of the ANREO which are not taken up are intended to be placed to new investors on no more favourable terms than under the ANREO.

 

A trading halt has been granted by NZX to facilitate the Placement and the Institutional Offer. Blackpearl Group expects to advise the market of the capital raised under the Placement and Institutional Offer on Wednesday, 13 August 2025.

 

The retail component of the ANREO (Retail Offer) will be open from 9.00am (NZST) on Monday, 18 August 2025 to 5.00pm (NZST) on Monday, 25 August 2025. Eligible shareholders who take up all of their entitlements in full may apply for additional new shares in an oversubscription facility. Blackpearl Group Announces Successful Completion of Placement & Institutional Offer

Black Pearl Group Limited (NZX:BPG) is pleased to advise that it has successfully completed its institutional Placement (Placement) and the institutional component of its 1 for 7.70 pro-rata accelerated non-renounceable entitlement offer (Institutional Offer) of fully paid ordinary shares in BPG (New Shares), as announced to market on Tuesday, 12 August 2025 (together, the Offer).

The Offer closed on Wednesday, 13 August 2025 and raised total gross proceeds of approximately $10.3 million.

The Offer was well supported by existing and new institutional shareholders and clients of retail broker firms. Blackpearl Group is particularly pleased to welcome several new Australian-based institutional investors onto its register, which was a key objective for Blackpearl Group in planning the Offer.

Blackpearl Group's shares will resume normal trading today on an ex-entitlement basis. The Offer shares are to be allotted on Tuesday, 19 August with trading of the New Shares commencing on the NZX Market that day.

Retail Entitlement Offer

Eligible retail shareholders are invited to participate in the retail component of the pro-rata accelerated non-renounceable entitlement offer (Retail Offer).

The Retail Offer will open at 9.00am (NZT) on Monday, 18 August 2025 and close at 5.00pm (NZT) on Monday, 25 August 2025. Blackpearl Group – Q2 FY26 Update

Blackpearl Group (NZX: BPG) achieved $19.5 million in Annual Recurring Revenue (ARR) at the end of Q2 FY26 (30 September 2025), representing a 87% increase year-on-year, up 39% from the previous quarter Q1 FY26. This milestone marks the first quarter where all four of Blackpearl's growth drivers, Pearl Diver, Bebop, B2B Rocket, and Wholesale have been live and contributing in parallel.

CEO Nick Lissette said "We have made major strategic moves during this quarter. We achieved record ARR, completed the acquisition of B2B Rocket, expanded into Wholesale, raised capital, and commenced our ASX listing application. With all four growth engines now rocketing, we are well positioned for our next phase: expanding our Australian shareholder base on the ASX and accelerating towards our $50m ARR target."


Key metrics

Q2 Commentary

Q2 FY26 was one of the busiest quarters for Blackpearl Group, navigating a capital raise, acquisition and integration of B2B Rocket and applying for ASX listing all while delivering growth across our further expanded suite of AI-power products. All of these strategic initiatives position Blackpearl for an acceleration of growth.

ARR reached $19.5m as of 30 September 2025, up 39% from the prior Quarter and 87% year-on-year, driven by growth in Bebop, the expansion of our products into wholesale, the acquisition of B2B Rocket and solid growth in Pearl Diver.

B2B Rocket's initial integration into the Group has been very successful. In Q3, the focus will shift to embedding the Pearl Engine to fully realise the benefits of the platform. Once completed, B2B Rocket will be deeply integrated into the Group's data ecosystem – driving higher-quality leads, stronger demo conversions, and reinforce the Group's multi-engine growth model and recurring revenue momentum.

The Wholesale channel has gained strong early traction, with initial contract wins and several additional agreements under negotiation. We are hand-selecting partners that align to our Ideal Customer Partner (ICP) profile as we build capability in-house. These customers are naturally sourced and upsold via the Pearl Diver Go-to-market (GTM). While early, we anticipate wholesale to make a meaningful positive impact on Customer Acquisition Cost (CAC) efficiency once scaled.

Churn improved to 4.6% down from 4.9% in Q1 FY26, continuing the positive trend seen over the last three quarters. The continued improvement in churn reflects the higher quality revenue base of Pearl Diver and contract-based Wholesale customers.

ARR per employee declined to $253k as a result of the B2B Rocket acquisition due to its earlier stage and distributed workforce. However, the scalability and operating leverage across both businesses are expected to drive expansion as topline revenue continues to scale.

Customer Acquisition Cost (CAC) payback increased to 4.6 months, reflecting deliberate investment in scaling B2B Rocket. We've launched with an SMB-focused entry point to drive adoption at lower initial value, while creating clear pathways to higher ARPU through a land-and-expand model similar to Pearl Diver.


Outlook

Looking ahead to Q3, Blackpearl is well-positioned for its next phase of growth. Following the successful capital raise, the completion of the B2B Rocket acquisition, and the launch of Wholesale, Blackpearl remains on track to list on the ASX in November.

While we anticipate some seasonal effects in Q3, including extended CAC payback periods as consumer brands significantly ramp up marketing spend across major US retail events such as Black Friday, Thanksgiving, and the Christmas–New Year period, we will continue to invest wisely in growth while focusing on integrating Pearl Engine data into B2B Rocket and solidifying our venture-based
organisational structure.

With all four growth drivers now contributing in parallel, Blackpearl remains on a strong trajectory towards its next major milestone of $50m ARR, underpinned by a diversified product portfolio and a clear path to scalable, sustainable growth.

BPG currently trading around $0.90c compared to 12 month low of $0.59c to a high of $1.28c.

I've never held BPG, yet have often looked at its potential and come away somewhat puzzled and questioning just how unique/beneficial/competitve  BPG's SAAS moat actually is?

The following is Ophir Asset Managements recent newsletter which examines Zeta Global a NTSE listed tech company that seems to operate in the same tech sector as BPG (maybe more biassed to large enterprise customers than BPG's SME's?).....  however, it's an interesting read (and highlights how difficult/competitive) this market sector is.
